DEFINITIONS

This Agreement contains the terms and conditions that apply to a participant in the AustraliaVisas.Com affiliate program (the "Program"). As used in this agreement, "we"/"our/"us"/”Australia Visas”, means AustraliaVisas.Com and "you"/"your" means the "affiliate/applicant", and "site"/”website” refers to a World Wide Web site.

TERMS AND CONDITIONS

To begin the enrollment process, you will submit a complete affiliate application form. We will evaluate your application in good faith and will notify you of your acceptance or rejection, usually within two business days. We may reject your application if we determine, in our sole discretion, that your site is unsuitable for the Program.

LICENSE

Upon approval of your application, we grant you a non-exclusive, revocable right to use our present banners and other such images for which we grant express permission, for the purpose of identifying your site as a program participant and linking to our site. You may not modify the banners or any of our images in any way without our express permission.

You acknowledge that any license granted under this agreement does not constitute any transfer of ownership of the materials and all rights not expressly granted hereunder are reserved to AustraliaVisas.Com.

We will not tolerate the sending of unsolicited bulk emails which promote, or make reference to AustraliaVisas.Com, or any of its associated companies, Partners, or employees. Other prohibited forms of advertising include postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, Affiliates may not advertise in any way that effectively conceals or misrepresents their identity, their domain name or their return email address. Any Affiliate who, in our opinion, breaches this ruling will have their Affiliate status cancelled immediately with complete forfeiture of outstanding commissions.

You agree that for the duration of this agreement and unless otherwise agreed upon, the licence granted here assumes AustraliaVisas.Com is the sole reference on the Affiliate website relating to fulfillment of electronic visa requests for Australia bound travellers.

You agree to link to AustraliaVisas.Com using only materials approved and authorized by us and to not distort or in any other way change the manner in which our site is presented.

You agree not to use our materials in association with any other materials in order to create a combination mark and to not use our materials in any way to imply that AustraliaVisas.Com endorses the Affiliate website.

We reserve all of our rights to our trade names and trademarks, materials and all other intellectual property rights. You agree not to undertake any action that dilutes our trademark(s) such as registering or attempting to register any logo or trademark that is confusingly similiar to those of AustraliaVisas.Com.

FRAUD

In the event of any fraudulent behavior or any other action that brings AustraliaVisas.Com into disrepute by you, this Agreement will be immediately terminated and notice provided in writing via electronic mail (“e-mail”).

We regularly monitor affiliate account activity for fraud. We will not tolerate fraudulent clicks either produced manually or via a software or other device(s) designed to falsely increase commissions for the Affiliate. Any Affiliate determined to have engaged in fraudulent clicking or other activity designed to falsely increase commission sales will have their Affiliate status cancelled immediately with complete forfeiture of outstanding commissions.

COMMISSION AND PAYMENT

We will pay you between US$0.01 and US$0.05 per click referred by your "affiliate link" through our banners or other authorized links.

Minimum amount for payment is US$50.00 Any amount under this will be held in your account until the minimum for pay out is reached.

Payment will be made via PayPal.

Payment will be made within ten days of the first of the month for the prior month's sales. For example, commissions for sales made during May will be sent out on or before the 10th of June.

We are not responsible for paying interest to Affiliates for accrued but not yet delivered commission payments.

INDEMNITY

You agree to indemnify and hold harmless AustraliaVisas.Com against any and all expenses and losses of any kind (including reasonable legal fees) incurred by AustraliaVisas.Com in connection to any claim(s) originating from your participation in our Program.

TERM OF AGREEMENT

The term of this agreement will begin upon our acceptance of your affiliate program application and will end when terminated by either party. Either you or we may terminate this agreement at any time, by giving the other party written notice of termination. This will be in the form of "e-mail". You can only earn referral fees on sales occurring during the term. Upon termination of this agreement, the former Affiliate must remove all Affiliate links and graphics from its web site, and refrain from publishing same in any manner whatsoever.

RELATIONSHIP OF PARTIES

You and We are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything written here.

MODIFICATION

We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a new agreement on our site. Any modifications will also be notified, by email, to all participating affiliates. If any modification is unacceptable to you, you may terminate this agreement. Your continued participation in the program following notification of our new program will constitute binding acceptance of the change.

PRIVACY POLICY

Information you submit for the purposes of this affiliate program will be used only for affiliate membership purposes (to make your commission payments and to communicate changes in our product offerings.) We will not email you with any other company's products. We reserve the right to notify you of new banners and or text links to facilitate promotion of AustraliaVisas.Com. We do not now nor will we in the future, sell, rent or otherwise make your personal information available to any third party/parties.
